| 87% of Reynolds & Reynolds shareholders approve merger with UCS |

The Reynolds and Reynolds Company, which is merging with rival automotive dealer systems supplier Universal Computer Systems, Inc, has announced that its shareholders have approved the company’s merger agreement with UCS at a special meeting of shareholders. Based on preliminary results announced at the meeting, more than 87 percent of the outstanding combined shares of Class A Common stock and Class B Common stock that were eligible to vote were voted in favor of the transaction. Completion of the transaction is expected to occur at the end of the week.
